Terms of Service

1. Service Description

Basilei.ai provides cloud-based church management software that includes features such as: member management, event scheduling, communication tools, AI-powered assistance, etc.. The Service is designed to help church leaders and ministry teams manage their congregations and operations more effectively.

AI-Powered Features: Our Service incorporates artificial intelligence technology to enhance functionality. When you use AI-powered features, certain data may be processed by third-party AI providers (such as Anthropic, OpenAI, or similar services) to deliver these capabilities. AI is never used unless explicitly chosen by you for tasks, and we do not use your data without your explicit consent.

2. Account Registration & Eligibility

2.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You agree to maintain and promptly update your account information to keep it accurate and complete.

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

2.3 Eligibility

You must be at least 18 years old to create an organization account. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Free Trial & Subscription Terms

3.1 Free Trial

We offer a 14-day free trial period for new users. During the trial:

• You have full access to the Service features.
• You must provide valid payment information to continue access to the Service after the 14-day trial period. Payment information can be entered at any time, but will not be charged until the initial 14-day period has concluded.
• No charges will be made during the 14-day trial period.
• You may cancel at any time during the trial without being charged.
• If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged monthly.

3.2 Subscription Plans

After your free trial, you will be billed according to the subscription plan you selected monthly on the anniversary of your trial end date.

3.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal.

3.4 Price Changes

We may change our subscription prices with at least 30 days' advance notice. Price changes will take effect on your next billing cycle after the notice period. Continued use of the Service after a price change constitutes your acceptance of the new price.

3.5 Payment

• All fees are in US Dollars (USD).
• Fees are non-refundable except as expressly stated in Section 4.
• You are responsible for all applicable taxes (sales tax, VAT, etc.) in addition to subscription fees.
• Failed payments may result in suspension or termination of your account.
• We use Stripe as our payment processor; your payment information is handled securely by Stripe according to their terms.

4. Cancellation & Refunds

4.1 Cancellation Policy

You may cancel your subscription at any time by:

• Accessing your account settings, or
• Contacting our support team at hello@basilei.ai.

Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.

4.2 Refund Policy

• During Free Trial: Cancel anytime during your 14-day trial and you will not be charged.
• After 30 Days: No refunds are provided for mid-cycle cancellations; you retain access until the end of your billing period.
• Extraordinary Circumstances: We may, at our sole discretion, provide refunds outside this policy on a case-by-case basis.

4.3 Refund Processing

Approved refunds will be processed to your original payment method within 5-10 business days.

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. Specifically, the Service is designed for:

• Church and ministry management
• Communication with congregation members
• Event planning and coordination
• Administrative and operational tasks related to religious organizations

5.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations.
• Infringe on intellectual property rights of others.
• Upload or transmit viruses, malware, or other malicious code.
• Attempt to gain unauthorized access to the Service or related systems.
• Use the Service to send spam, unsolicited marketing, or harassing communications.
• Impersonate another person or entity.
• Use the Service in any way that could damage, disable, or impair the Service.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Use automated systems (bots, scrapers) to access the Service without permission.
• Store or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Upload content depicting minors in any inappropriate context.
• Resell, sublicense, or make the Service available to third parties without authorization.

5.3 Content Responsibility

You are solely responsible for all content you upload, post, or transmit through the Service. This includes:

• Church member data
• Images, videos, and documents
• Communications sent through the Service
• Any other user-generated content

You represent and warrant that:

• You have all necessary rights to upload and use such content.
• Your content does not violate any third-party rights.
• Your content complies with all applicable laws.

6. Data & Privacy

6.1 Your Data

You retain all ownership rights to any data you upload or create using the Service ("Your Data"). We do not claim ownership of Your Data.

6.2 Our Use of Your Data

We use Your Data only to:

• Provide and improve the Service.
• Communicate with you about the Service.
• Comply with legal obligations.

6.3 Data Security

We implement reasonable security measures to protect Your Data. However, no system is completely secure, and we cannot guarantee absolute security. See Section 10 for limitation of liability.

6.4 Data Backup & Export

• We perform regular automated backups of Your Data
• You may export Your Data at any time through account settings
• Upon termination, we will retain Your Data for 90 days to allow for export, after which it will be permanently deleted

6.5 Children's Data

Our Service is not directed to children under 13. If you are a church that collects information about children under 13 (e.g., for children or youth programs), you are responsible for obtaining appropriate parental consent and complying with COPPA and other applicable laws.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including all software, text, graphics, logos, icons, images, audio clips, and data compilations, is owned by Basilei.ai or our licensors and is protected by US and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose during your subscription term. This license does not include:

• Any right to modify, distribute, or create derivative works
• Any right to access source code
• Any right to resell or sublicense the Service

7.2 Trademarks

Basilei.ai, our logo, and any other product or service names or slogans displayed on the Service are trademarks of Basilei.ai and may not be used without permission.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose, including improving the Service.

7.4 DMCA Compliance

If you believe content on our Service infringes your copyright, please contact our DMCA agent at hello@basilei.ai. We will respond to valid takedown notices in accordance with the Digital Millennium Copyright Act.

8. Service Availability & Support

8.1 Service Availability

We strive to provide reliable, uninterrupted access to the Service. However, we do not guarantee:

• That the Service will be uninterrupted, timely, secure, or error-free
• That defects will be corrected
• That the Service is free of viruses or other harmful components
• Any specific uptime percentage

8.2 Maintenance & Updates

We may perform scheduled maintenance or make updates to the Service. We will attempt to provide advance notice of significant planned downtime, but we are not obligated to do so.

8.3 Support

We provide customer support via email at hello@basilei.ai. We aim to respond to support requests within 24 hours during business days (Monday-Friday, excluding US holidays). Support does not include:

• Custom development or integrations
• Training beyond our standard documentation
• On-site assistance

9. Third-Party Services & Links

9.1 Third-Party Integrations

The Service may integrate with or link to third-party services (e.g., email providers, payment processors, AI providers). Your use of such third-party services is subject to their own terms and privacy policies. We are not responsible for third-party services.

9.2 AI Provider Terms

By using AI-powered features of our Service, you acknowledge that your data may be processed by third-party AI providers (such as Anthropic Claude, OpenAI, or similar). These providers have their own terms of service and privacy policies. We select AI providers that maintain strong data privacy and security practices, but we cannot control their operations.

9.3 No Endorsement

Links to third-party websites or references to third-party products do not constitute an endorsement.

10. Disclaimers & Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability, fitness for a particular purpose, and non-infringement.
• That the Service will meet your requirements or be uninterrupted, secure, or error-free.
• The accuracy, reliability, or completeness of any content or data provided through the Service.
• That any defects will be corrected.

We specifically disclaim any warranty that the Service is appropriate for church operations, ministry activities, or religious purposes. You use the Service at your own risk.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL BASILEI.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Loss or damage arising from your use or inability to use the Service
• Damages arising from unauthorized access to or alteration of your transmissions or data
• Any other damages arising out of or in connection with the Service

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 (WHICHEVER IS GREATER).

10.3 Basis of the Bargain

You acknowledge that we have set our prices and entered into these Terms in reliance on the disclaimers and limitations of liability set forth herein, and that they form an essential basis of the bargain between us.

10.4 State Law Variations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Basilei.ai, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Any content you upload or transmit through the Service
• Your violation of any applicable laws or regulations

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

12. Termination

12.1 Termination by You

You may terminate your account and these Terms at any time by canceling your subscription as described in Section 4.

12.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, if:

• You breach these Terms.
• You engage in fraudulent activity.
• Your payment method fails repeatedly.
• We are required to do so by law.
• We discontinue the Service (with 30 days' notice).

12.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases.
• You will no longer be charged.
• We will retain Your Data for 30 days to allow for export.
• After 30 days, Your Data will be permanently deleted.
• Sections 6.2, 7, 10, 11, 13, and 14 survive termination.

13. Dispute Resolution & Arbitration

13.1 Informal Resolution

Before filing a claim, you agree to contact us at hello@basilei.ai and attempt to resolve the dispute informally. We'll attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or we may bring a formal proceeding.

13.2 Binding Arbitration

You and Basilei.ai agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

The arbitration will be:

• Conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
• Held in Hood County, Texas or remotely via video conference.
• Conducted before a single arbitrator.
• Subject to the Federal Arbitration Act.

The arbitrator's decision is final and binding. Judgment on the award may be entered in any court having jurisdiction.

13.3 Class Action Waiver

You and Basilei.ai agree that any proceedings to resolve Disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action. You and we are each waiving the right to participate in a class action or class-wide arbitration.

13.4 Exceptions

Either party may bring a lawsuit in court (rather than arbitration) if the claim:

• Qualifies for small claims court
• Seeks injunctive relief for intellectual property infringement

13.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to hello@basilei.ai within 30 days of first accepting these Terms. Your notice must include your name, address, and a statement that you do not wish to resolve disputes with us through arbitration.

14. General Terms

14.1 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Hood County, Texas.

14.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Basilei.ai regarding the Service and supersede all prior agreements and understandings.

14.3 Amendments

We may modify these Terms at any time by posting the revised Terms on our website. The "Last Updated" date at the top will reflect when changes were made. Your continued use of the Service after changes constitutes acceptance of the modified Terms. We will provide notice of material changes via email or prominent notice in the Service.

14.4 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.5 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.6 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction. Any attempted assignment in violation of this provision is void.

14.7 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14.8 Relationship

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Basilei.ai.

14.9 Export Controls

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the US Department of Commerce.

14.10 Government Users

If you are a US government entity, the Service is a "commercial item" as defined in 48 C.F.R. §2.101, and use is governed by these Terms.
